1. Agreement to Terms

By accessing the website of ZIPROTO (“Company,” “we,” or “our”) or engaging our technological, creative, or digital marketing services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please discontinue using this website and our advisory services.

2. Website Usage & Eligibility

This website is intended for business entities, entrepreneurs, and professional organizations seeking commercial digital solutions. You agree to use this site strictly for lawful purposes and refrain from transmitting malicious scripts, automated scrapers, or abusive communications.

3. Service Engagements & Scope of Work

All professional services (including Web Development, App Development, AI Chatbots, AI Automations, SEO, and Performance Marketing) are governed by mutually signed Statements of Work (SOW) or Master Service Agreements (MSA). Specific milestones, deliverables, timelines, and acceptance criteria are established individually in each contract.

4. Fees, Invoicing & Payments

Clients agree to remit project milestone payments according to the schedule specified in their contract. Invoices are subject to applicable taxes (including GST where mandated by Indian law). Late payments may result in the temporary suspension of ongoing engineering or ad campaign management.

5. Intellectual Property Rights

Unless otherwise agreed in writing:

  • Client Deliverables: Upon receipt of full payment, custom source code, bespoke design assets, and content created explicitly for the client transfer to the client.
  • Pre-existing IP & Frameworks: ZIPROTO retains ownership of pre-existing software libraries, proprietary algorithms, foundational prompt architectures, and developer frameworks utilized across client deployments.

6. User Responsibilities & Client Content

The client warrants that all text, imagery, trademarks, and access credentials provided to ZIPROTO do not infringe upon any third-party intellectual property or privacy rights. The client is responsible for supplying timely feedback and approvals necessary for scheduled project progression.

7. Third-Party Platforms & API Changes

ZIPROTO builds solutions that integrate with third-party ecosystems (e.g. Meta Ads, Google Cloud, Razorpay, WhatsApp Business API). We cannot be held liable for platform outages, algorithm revisions, API deprecations, or policy changes enacted autonomously by these external platform providers.

8. Limitation of Liability

To the maximum extent permitted under applicable law, ZIPROTO shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from website usage or service execution.

9. Modifications to Terms

We reserve the right to revise these Terms & Conditions periodically. Continued use of our website or contracted services following any update constitutes formal acceptance of the modified terms.
